Contract to Sell

This Contract to Sell (the "Agreement") is made and entered into on this day of , 20, by and between:

SELLER: Comsec Services (Hereinafter referred to as the "Seller")

AND

BUYER: (Hereinafter referred to as the "Buyer")

1. Subject of the Agreement

The Seller agrees to sell, transfer, and assign to the Buyer the full source code, platform rights, and assets of the online casino/gaming platform known as Lucky7play.online (the "Software").

2. Inclusions and Platform Features

The sale includes the complete frontend and backend source code (Vite/Vue.js + PHP), database schemas, existing assets, and all developed features intact. The platform includes but is not limited to the following core functionalities:

• Game Integrations (Slots & Live Casino):
  • Pre-integrated casino game APIs (Examples: JILI, PG Soft, CQ9, JDB, MG, Evolution Gaming, etc. - subject to API provider limits/keys).
  • Supported Game Categories: Slots, Live Dealer, Lottery (Wingo, Trx, etc.), Fishing Games, Sports Betting, and Mini-Games (Mines, Plinko, etc.).
• Payment Gateway System:
  • Fully integrated payment gateways supporting local Philippine e-wallets.
  • Automated Deposit & Withdrawal System.
  • Supported Channels: GCash, Maya, Bank Transfers, and USDT/Crypto (as configured).
  • Integrated Payment Providers: (e.g., WePay, or other 3rd party gateways installed).
• Advanced Admin Panel & Backend:
  • Comprehensive Dashboard for Player Management, Agent Systems, and Financial Tracking (Deposit/Withdrawal approvals).
  • Real-time statistics and data analytics.
  • Customizable UI Editor (Admin CSS Editor) - easily change Website Colors, Buttons, Text, and Splash Screens.
  • Dynamic Asset Management: Editable Loading screens (JSON base64 animations), Floating Customer Service Icons (Telegram, Dragon, Service), and Banners.
  • System Configuration Module: Built-in PHP environment checker and a secure password-protected Clean Database Tool for safe hard resets.
• Marketing, Affiliate, & Retention Tools:
  • Agent / Affiliate Commission System (Multi-level MLM structure).
  • Bonus & Promotion Engine (First Deposit Bonus, Welcome Bonus, VIP System, Daily Check-in).
  • Turnover / Wagering Requirement Tracker.
  • Red Envelope / Gift Code System.
• Security & User Management:
  • Secure Login / Registration (OTP / SMS / Email configurations).
  • Anti-cheat and Risk Control protocols.

3. Purchase Price and Payment Terms

The total purchase price for the Software and all inclusions listed above is Six Hundred Thousand Pesos (₱600,000.00).

Payment shall be made in FULL upon turnover of the source code.

4. Transfer of Assets & Rights

Upon full payment, the Seller agrees to:

• Provide the Buyer with the complete archive of the Source Code (Frontend, Backend, Database).
• Transfer ownership of the Domain Name lucky7play.online (if applicable and agreed upon).
• Provide existing configuration details, API documentation, and basic deployment instructions.

Note: The Seller does not guarantee the continuous uptime of external 3rd-party game APIs or Payment Gateways, as these require the Buyer to maintain their own agreements/credits with the respective API providers.

5. Support and Maintenance

The Seller agrees to provide 1 month (30 days) of FREE technical support post-purchase strictly for bug-fixing critical issues directly related to the newly deployed script.

• Extended Support: After the free 1-month period, any additional technical support required by the Buyer will be charged an additional fee of ₱50,000.00.
• Feature Requests & Modifications: Any requests for new functionalities, features, or complex system modifications after turnover shall be billed separately at an estimated ₱100,000.00 per feature depending on the difficulty and time required.

6. Non-Disclosure & Agreement

Both parties agree to keep the specifics of the software architecture, trade secrets, and transaction details confidential.
